If your name isn't on the deed, no vote for you. That was the most civil, informative gathering I have ever attended in HPP. Peace. However, I understand that only four Board members attended. According to "Article V – Bylaws Definitions Section 11. Quorum of the Board of Directors. A majority of the Board of Directors hereinafter referred to as "board".” With a nine-member Board, the majority is five. According to “Article Section 12. Acts of the Board: The acts of a majority of the directors present at any meeting at which a quorum is present shall be the acts of the board.....” While it may have been called a “meeting”, without the Board’s ability to take action (lack of quorum), any such gathering is useless and a waste of money. Until such time as new members can be appointed to the Board, with only five active Board members, it will be imperative to ensure that every member attends every meeting, which may, on occasion, be difficult. Various types of receiver appointments exist: 1. a receiver appointed by a (government) regulator pursuant to a statute; 2. a privately appointed receiver; and 3. a court-appointed receiver. The receiver's powers "flow from the document(s) underlying his appointment" – a statute, financing agreement, or court order. Court-appointed receivers are "the most powerful and independent of the judicially appointed managers." Unlike special masters and monitors, "the receiver completely displaces the defendants: the receiver makes large and small decisions, spends the organization’s funds, and controls hiring and firing determinations." The woman withdrawing from the board is understandable (I mean, I'm a crusader, but not THAT much of a crusader- to risk my life for being on an HOA Board), but the idiot that threatened her has accomplished his goal. Let's not be defined by the lowest of us, but by the best in us! We CAN make this association work! (If that isn't your goal, I don't know what to say to you.) This whole thing has gotten out of hand. My heart goes out to the women who were terrorized. I am so sorry. Let us make this right, together, now! Be kind to one another. Forgive. Make peace.
