Again: the proper target is County, if the infrastructure was public these boards would have very little responsibility, which they then might be able to manage effectively.

A $2M/year "maintenance" budget just begs for hostile takeover -- oh, look, here we are.

Anyone know who the new lady is that is now in the office sitting at the TE's old desk? Was she mentioned at the last BOD meeting?

She is the new office hire. HR committee recommended. Given to the board at last meeting. Voted on at the executive meeting.

Actually, most of them are legitimate nonprofits. Not all subdivisions have problems. There is one failed resort that is really nice, roads are nice, people are nice, maintains a good surplus, board comes up their own idea to get a government grant for a big well upgrade, has discussions about completing the gates to keep the rest of the Puna riff-raff out.

All you have to do is look at who the HRC chair is AGAIN to understand why there's lack of transparency. Nothing should be secret about the process, nothing. Only salary or who to hire should be discussed in exec session. This is how this HRC chair operated when she chaired HRC1 and HRC2 during 2014-2015.

This HRC was not tasked by the board at a board meeting to do anything. They've rewritten job descripts and advertised all without board approval. They've screened applicants now without board approval. All acts of HRC has been tightly controlled by the HRC chair without full board involvement.

Article VIII Board of Directors, Sec 12 "Any action taken by any board member purporting to act on behalf of the board independently without prior consent of the board shall not be considered an act of the board, and shall be strictly prohibited in accordance with HRS chapter 414D." This should mean all acts are null and void.

If this HRC wants to be legitimized, the HRC members need to understand they are of equal standing on the committee and can remind the chair that they all need to follow HPP's bylaws. That's part of their role on the HRC. That's why the members out number the board member on HRC...checks and balances. No other HPP committee's composition is that specific in our bylaws.

If things were done according to our bylaws, all acts thus far by HRC should be null and void and the chair held accountable and then dismissed off the HRC. But we also have a problem with a board that doesn't censure or reprimand their peers when they go rogue over and over and over...the board is just as culpable when they do nothing.

HRC members, I'm not speaking harshly towards you. I've been in your shoes with the same chair, breaking bylaws bc I didn't know as much as I do now, and still learning. I did ask her to step aside more than once but was totally ignored. I had no choice but to resign than be part of a committee that had NO REGARD for our bylaws and a chair that lacked ethics and respect for others. Who hijacks a committee, takes the chair seat, disregards that the board already appointed a diff board rep for the single seat on the HRC, then knowingly excludes that rep from all HRC mtgs??? That rep had no idea meetings had been going on w/out her.

We're seeing this behavior all over again.

Gross Misconduct: significant levels of insubordination, repeatedly and knowingly violating board and HPP bylaws.

Willful Misconduct: a knowing violation of a reasonable and uniformly enforced rule or policy. Intentionally doing that which should not be done or intentionally failing to do that which should be done.

This is the kind of arrogance you're dealing with. Be attentive to your bylaws and please enforce them by following them.

The office girl called me today asking questions about a committee I was on bc she's working on HPP's calendar. She was confirming our meeting days and times. I was very impressed with her. She was very professional and pleasant. I let her know that the VP should be able to give her committee info. It's the main part of a VP's job to maintain a list of all active committees. I asked if she was the new hire and she said she was a temp.

Speaking of VP duties....it's the least powerful position of the 4 officers on the board. The VP is supposed to be delegated their duties by the Pres if/when the Pres needs assistance in their duties. The VP performs the President's duties only in the absence or disability of the President. It's there in our bylaws very clearly stated.
