HPP Board 2014


30 members at a membership meeting is a quorum

5 Directors at a BOD meeting is a quorum no number of members are required at a BOD meeting and only the BOD vote at that meeting

Moreover, the bylaws are quite clear regarding the Board.
9 Directors make the Board this is a FIXED number and under these bylaws it can't change, therefore, a quorum is 5 Directors no less.
Furthermore, the only provision to vote with less then a quorum is to appoint Directors because there may be less then 5 members.

So, the last 3 meetings of the BOD were illegal and any business conducted at these meetings are invalid and must be voted on in a legal meeting.

When is someone going to hold their feet to the fire and start following the bylaws?

Here is my opinion on what the new board’s actions have been since July.

1. Incompetence - They signed their oath to uphold the bylaws.
“They don’t know what they don’t know”.

2. Ignorance - They didn’t understand the bylaws and knew
nothing about HRS-414D

3. Arrogance - They don’t care about the bylaws or members and they are going to do what THEY want!

And you can see what happens when you violate the HRS, we get sued!

I have NO investment in past employees, present employees, past board members or present board members. My investment is in my property . My loyalty is with our association.

The only way to run a 2 million dollar corp. is by understanding the chain of authority governing this corp. , insuring that actions taken are not in conflict with authority, and Following process as outlined in our bylaws.

I believe what I witnessed at the last board meeting was the same movie I have watched over and over again. Decent people, good intentions , ignorant of process and ignorant of consequences caused by their own ignorance.

I felt like I was Alice in Wonderland witnessing it. And the topic? How was this priority over bylaw mandated items previously listed?
I will not support anyone striving to do what's best for the association. This is subjective and limited to their interpretation of "what's best". I will support members who take the time to understand the chain of authority that dictates their actions and demonstrate that they have a grasp on authority and process. There are non profit groups available......one day workshops that can educate board members on the basics. (Have provided 2 sources to a member of the HR committee).

There is another essential matter that needs to be added to Reni’s list of this morning. Taken from the Bylaws on the website (so that we don’t get into a debate about which version is being quoted).

APPENDIX E - HPPOA Business/Fiscal Schedule

October Mandatory road fees set by board not more than 90 days or fewer than 30 days prior to the close of the calendar year

November Determine and vote on road fee increase by end of month

This matter was not on the agenda of any of the meetings in October and, thus, no action was taken. An announcement in October provides members an opportunity to interact with their Directors before the mandated vote in November.

Does this include the part where County was granted permission to use the "private" roads for an emergency access route? Or does that even matter?

This doesn't include the emergency access route. I don't believe the County has been granted permission yet.

HPP's negotiating with the County on what HPP needs in place before approx 7,000 cars come through. So far the County hasn't been very cooperative.

You are not alone. Many previous supporters are asking the same questions. Many well meaning members have tried to assist them. It's disappointing and I don't know what else we can do but to insist they straighten out some of these issues ASAP. We're going into the 4th month with this new board.

Have a Special Board Meeting to fill all 4 of those board vacancies ASAP. Hire a highly experienced GM ASAP. Let the new GM hire the other employees with board oversight and let the board get back to their own business. I think trying to wear 2 hats for this long is the problem. The board needs to focus on their own order of business and I would think they'd be relieved at this point to do so.
