Why would a majority board who has had COMPLETE control of all business since Oct 2018 suddenly up and resign? How can only two board members, stripped as officers by them in Oct 2018, be responsible for any of their claims? It doesn't add up.

It doesn't add up. Like roaches scattering when you open the cabinet door and the light shines in. Mermaid what scared them off?

"If the directors remaining in office constitute fewer than a quorum of the board, they may fill the vacancy by the affirmative vote of a majority of all the directors remaining in office."

I get that the board is still a board they can fill the vacancies with the remaining directors. Mermaid appreciate you hanging in there.

I wander if they scattered so as not to be liable for the remaining directors actions? Lots of ways to look at this -if they are guilty of something illegal i would think they would disappear completely sell and leave now! If they aren’t and are not having a problem sharing their experiences as directors wouldn’t you question what really happened? My understanding of the director’s stripped as officers was due to the director’s acting on their own without majority board approval on issues relevant to the corporation business. I also hear the resignation letters are public records think I may look for The Association office and request viewing them.

Stillwater, there is hard core evidence to rebuff ALL the claims you've just made. Therefore, you are seriously misinformed.

No one's stopping you from seeing the resignation letters. They are HPP property and are in the office where they should be.

What is your end game? To form an illegal board? Only the remaining board can appoint members to fill the vacancies.

Mermaid so I’ve also seen some hard core evidence of what you refer as claims occurred. Seriously misinformed no the documents I have seen should have you concerned.This information should all be shared with all owners not some and not only what you choose to share
My end game is what you birthed and the members are entitled to .... full TRANSPARENCY oh and mailboxes!

Just to add to the drama and confusion, isn't there an election pending and a General Membership meeting scheduled for the last Sunday of June? Theoretically, the election should fill at least some of the vacancies on the board. Wasn't the last General Membership meeting cancelled due to lack of a recording secretary? Surely that situation should have been resolved by now, but there is no agenda posted on the website, nor is there a calendar of events for June. Typical HPP.

Stillwater, if you have information that "should" be shared with "all" owners.......share it.

and as far as our Board providing mailboxes for all, an auditor is not the person to give us legal advice.......our attorney is. Proceed within the law.............do not give us another lawsuit!
