The question was earlier asked if we want to pay for a manager to manage our manager....
How about this question....
how long can we afford NOT to have a Property Management firm overseeing our employees and business side of our Corp.? An established Property Management firm...not some newly formed concoction of past employees or past board members either.
Still no Board meeting? down to 3 Board members? 4 Board members? What?
3, 4 volunteers not meeting who supposedly are in charge of our Corp. who's gross annual receipts are at least 3 million?
And now this.........has our Office Administrative Assistant already resigned?

You all have a right to know what's going on since the mass exodus of board resignations (5) in two days...it's called transparency.

Even more alarming about the admin asst ad, is that D7 rep and I didn't even know about it. A member who saw the ad tipped me off. Business is being conducted w/out board oversight. Who wrote the job descript? Did it cost $$$? Is the admin asst still working in the office or not?

Furthermore, D1 rep, the pres, notified D7 and I yesterday that Craig Crelly is on the board (by whose authority?) and we can't carry out the special board mtg that D7 and I called on 2 Jul, for 9 Jul 2019 at 6 PM. The pres has no veto power when 2 reps call a special board mtg. Since we called the mtg, we control the agenda...to fill board vacancies. We're a board of 3 and all 3 reps should have the same info of what's going on in HPP. The GM refused to let D7 and I see the original director resignations, nor any of the applications of members applying for vacant seats. There is NO "board" oversight. Who's running the show exactly? We have a pretty good idea...this is very disturbing...

So this past President , who I thought was missing somewhere is actually still behaving like our President, when it suits him?

We recently had our semi annual membership meeting. Did this board member insure that this meeting was posted on our web site in a timely fashion? Did he insure that motions or resolutions to be voted on by the membership were properly presented at our membership meeting?
( ARTICLE IX, Section2 BYLAWS...the President "SHALL") and now no Board meeting?
This person is walking a fine line.

didn't it recently happen in Orchidland, prior to the Proxy and 2 Board mess?

......Doesn't HPPOA require 2 officers' signatures on our checks? Has business been shut down? If not , it begs the question again......
Who IS signing our checks?
My understanding is that Mayelin & Leslie were voted out of their positions as officers by previous Board members (most have resigned).
So, if Craig RESIGNED his position during his last term, he would not retain his position as an officer even if he was considered a Board member now.
Who IS signing our checks?????

Article IX section 2 the president shall preside at membership meetings as needed.
I recall the gentleman of the membership that presided the meeting was arranged before the meeting took place-......president shall- “as needed”
You all have a right to know - transparency = only the membership nomination of the elected official can veto- remove the Director =D1 D5 and D7 can not veto D6 elected position= the voting membership’s authority- that’s whose authority mermaid no valid reason to ask your permission.
Special meeting =special scheduling of recording secretary who is not at the complete disposal of board directors-1 meeting a month 3 membership meeting’s a year.
Officers keep positions until replaced then I’m guessing president is signing checks. Embezzlement- pretty sure corporation would be broke already if it was true#128518;

Stillwater, who's talking about "removal"? Craig Crelly RESIGNED from both of his terms on 19 Jun 2019 for District 6. On 21 June, (within two days after the resignations, per our bylaws, vacancies must be posted.) SIX vacancies were posted, advertising members to apply for SIX vacancies, one of them being the seat for Dist 6. Members have applied. HPP would NOT post vacancies on it's website requesting members to apply for a vacancy with only a few days remaining of a term. Therefore Dist 6's seat was advertised as a vacancy for next term.

The recording secretary can be called to work for special board meetings. This past term, the majority board called several special board meetings, in fact more special board meetings than a board normally does in one term which border lined "abuse". Each special board meeting called costs the Association money and should only be called for business that can't wait for the next regularly scheduled board meeting.

Two directors of the remaining board of THREE followed the bylaw procedure to call a Special Board Meeting to fill board vacancies so the NEW board can start overseeing the Association's business that's been held up since 19 Jun. I would consider that urgent business, wouldn't you? The members expect this to occur ASAP and two of the remaining three directors mean to fulfill that duty, hopefully w/out obstruction.
