The affairs of the Association shall be governed by a board composed of nine persons, who must be "MEMBERS" in good standing.
There are a lot of "bumps" in HPPOA's bylaws, which are the result of numerous illegal bylaw amendments that do not follow the memorandum. These bylaw changes have resulted in confused language, referencing "members" instead of "owners" and HPPOA instead of HPP in certain passages where those distinctions matter.
HPPOA is not a membership only "club." Especially when HPPOA does not collect membership dues. The bulk of money HPPOA receives is from the collection of mandatory road maintenance fees. These restricted road maintenance fees total more than 95% of all the income HPPOA pulls in. So, just as an HPP Owner is still allowed to vote (as per the court) regardless of if they are an HPPOA member or not, an HPP Owner, in good standing should be able to run for the board. In addition, I think HPPOA would have a difficult time explaining to the court how they can justify "compelling" HPP owners to pay them but not allow those owners to participate in governance.
