my hppoa bylaws 7-22-2010 has apendix E on page 33 0f 34

They still haven't updated the Director vacancies from 3 to 4 and the bylaws say it must be posted within 2 days, what's up with that?--------------
Agree, I just checked the website. No update.
I visited the website to see if the bylaws were listed on our web site.....couldn't find them, but it would be helpful!!!!
Maybe the confusion on the page 32 verses page 33 is the difference between the "January Draft" of 2010 (Appendix E is on p. 32) and the little white booklet that is currently being given out at our HPPOA office which reads Amended and Restated July 22, 2010 (Appendix E is on p. 33).
I know there is a stated time frame for filling Officer vacancies but don't recall any time requirement listed in the bylaws for the other positions. Another suggestion for the bylaw committee?

The HPPOA website has had the Bylaws for quite some time. This is the version I have been using.

In the green box at the upper left, hover the cursor over "Executive Information". A new box pops out with the Bylaws included (and some other very interesting information).

(Sorry for two posts in a row - it's early.)

If the Bylaws indicate that filling empty Director positions is so urgent that the vacancies must be advertised "within two days", it is a serious question why they don't specify a time limit for completion of the process. (Thank you, Frank, for confirming the lack of a reference.)

Even without a specification, this matter should still be treated as a matter of urgency, the most urgent task facing them at this time, by the sitting Directors.

I agree with the urgency . Do they even have anyone submitting an application? I really don't know.

I appreciated the lack of disruptions at the Gen. meeting and the spirit of cooperation shown by the majority of homeowners and remained hopeful . Attended the last board meeting and this is what I expected to see on the agenda
1. specification of the version of Robert's rules of order determined by the board (was to be done in July)
2.follow thru on the conflict of interest policy committee ( policy was supposed to be adopted in July)

3. discussion of nomination committee which was supposed to be elected by our membership in October.
4. new BOD member sworn in or at least a discussion on the topic.

I have NO investment in past employees, present employees, past board members or present board members. My investment is in my property . My loyalty is with our association.
The only way to run a 2 million dollar corp. is by understanding the chain of authority governing this corp. , insuring that actions taken are not in conflict with authority, and Following process as outlined in our bylaws .
I believe what I witnessed at the last board meeting was the same movie I have watched over and over again. Decent people, good intentions , ignorant of process and ignorant of consequences caused by their own ignorance.

Flawed assumption: that HPP (or any of the large subdivisions) will ever work things out.

Sorry Snorkle. (thanks for the chuckle) We're HPP bored too, but if we don't look out for ourselves, who will?
I agree with Reni. "my investment is in my property. My loyalty is with the Association." Nobody else.
I don't care WHO the staff or BOD are as long as they do the job right, fix what needs fixing and keep us out of court.
No matter who's in charge, the only thing that's ever done on time here is the mailing of road fee bills, which get bigger every year, yet we see no improvement in roads. They're DUST! (mud today) We owe millions because some other BOD thought it was a good idea to take out a 12 million $ bond in OUR names. They said it would be enough to pave every road. We still have dust roads, and owe a bundle!
$60,0000+ of OUR money was spent to haul away trash accumulated by the last Manager.
Right now, how much of OUR $ is being spent on Lawyers to defend people who "volunteer" to run HPP?
Yes, we're bored with it all too, but we can't just walk away from a situation where other people's decisions leave us financially and legally responsible.

[ I thought the forming of a nominating committee was attempted at the Oct General Membership meeting. I believe only Janice, the board treasurer signed up? I don't know if anyone else came forward. I believe there has been some applicants for the vacant board of director seats.

I concur with your thoughts and my loyalty is with our association as well. I will support whomever is striving to do what's best for the association. Foremost in governing HPP is knowing and following our bylaws. The board's only agenda is to follow their oath to the association.

Every decision the board makes and every action the board takes that isn't "personnel issues, matters of litigation or matters of attorney/client privilege" (Article VIII Section 9d) should be discussed openly and voted on at board meetings. The members should know what's going on. i.e. Does anyone know who the road supv is or how many road crew we employ?

The time limit to fill a vacancy for a board seat unfortunately isn't specified in our bylaws. If the board can't do business bc there isn't a quorum of 5 at their meetings, that would motivate them to fill those vacant seats as soon as possible. HPP's currently being managed by half a board and an interim GM, who is also a board member. There's no Secretary yet and I think it's been approx 3 wks now since his resignation. Filling vacant board seats as soon as possible certainly justifies the Board calling for a Special Board Meeting.

Article VIII Board of Directors Sec. 1, "The affairs of the Association shall be governed by a board composed of nine persons", coupled with Sec. 12 Acts of the Board, "The acts of a majority of the directors present at any meeting at which a quorum is present shall be the acts of the board".

There are 2 passionate camps on what this means and I'm glad there's a ByLaw Committee who'll be working on our ByLaws for this exact reason. There is too much wiggle room for varied interpretations resulting in passionate debates and angst among the membership.

Has anyone ever witnessed members voting on an issue at a board meeting? I thought only the board votes at board meetings and members vote at General Membership Meetings? And the minimum quorum for a membership vote is 30. This occurred at the last Thursday morning board meeting. I don't know if there was a quorum of 30 lot owners at the board meeting. If not, wouldn't that mean that vote is null and void? Anyone know about this? I'm always willing to learn proper procedure.

Just checked, it's a combo of the "Final" and the "Draft of January 14,2010" (check the writing on the bottom left of appendix E.) GOOD GRIEF
