HPP Biz
I'm always confused by these announcements. They are always the same outline with no information. What is the actual agenda? And I can guess based on past posts here that "Board Assignments" means possible removals or additions of lackeys, but why does HPPOA think these are useful announcements?

This is all the website says:

There will be a Special Board of Directors Meeting on Friday February 9, 2018 in the Activity Center library at 6:00 pm.

The meeting is being held at the request of two or more Board Members and is to cover board assignments.

eric1600 you hit the nail on the head. They don't want to come right and say what their agenda is, but we're no idiots. It's plain to see, crystal clear, what their nefarious agenda is. And it is nefarious and exhibits desperation. These people have plenty of experience deposing officers, and kicking people off the board illegally.

You think they're going to remove Crelly for conflict of interest at that mtg? I think NOT. It certainly could fit under the special mtg agenda and would be most appropriate since that was a huge error that he wasn't disqualified. It's an error that should be fixed immediately IMO. He shouldn't be sitting on the board, least of all voting to depose officers. Any votes he makes are NULL AND VOID. You think HPP biz is complicated? It's a big bowl of convoluted spaghetti that only breaking bylaws creates. Wait until they vote in an illegally seated person in as an officer, which I know is THE PLAN. PRESIDENT most likely. He's ILLEGALLY SEATED ON THE BOARD.

HPP Bylaws Article VIII Board of Directors

"Sec 11 Conflict of Interest.

The board shall annually adopt a Conflict of Interest Policy that applies to all board members and Association employees.

The policy shall include the following:

(a) No member of the board shall vote at any board meeting on any issue in which such member has a conflict of interest. The director shall disclose the nature of the conflict of interest prior to a vote at the board meeting, and the minutes of the meeting shall record the fact that a disclosure was made.

(b) Any after the fact disclosure of a conflict of interest on the part of any director shall result in the nullification of any relevant vote of the director and shall be grounds for dismissal from the board."


Crelly made no disclosure of a conflict of interest at the board meeting or any time after.


"HPP Corporate Policy General Policies P 1

7. As stated in Article VIII, Sec 13 of the bylaws, no member of the board shall vote at any board meeting on any issue in which such member has a conflict of interest.

8. Relationships that suggest a conflict of interest shall be avoided. No board member shall be employed by the Association for any reason. No family member of a Director shall be employed for any reason."

Please email your board reps if you disagree w/what's going on here. cc the whole board so the whole board is aware of it. It's obvious they're NOT working for you. People who have something to hide conduct these whacko maneuvers and it appears it's to protect themselves or others or both...there is something to hide. This is NOT NORMAL. 2nd attempt to have a non urgent "special" meeting to depose officers before the regularly scheduled board mtg shows desperation on their part. Two fold agenda: obstruct the forensic analysis.

Why are the minutes never published or at least meetings recorded?

The minutes are published although often times they're way behind esp if there's numerous corrections to be made. Meetings are recorded by the recording secretary. Members can video or audio record anytime they wish. There was talk about putting the video recording of the Feb 2017 membership mtg up on the website when ***** was on the board. Her husband C Crelly recorded them I believe. I think it became too much of an embarrassment to post on the HPP website when certain mailbox committee people sitting front and center were yelling at members. Also an embarrassment was a rep sabotaging members who wanted to make a membership mailbox committee so it would take the control away from the board.

Through the grapevine...Someone went into the ofc recently asking for a copy of the Corporate Policy and the ofc is denying it's existence and implying that any claim of corporate policies are fake.

FYI...this is NOT TRUE. I have a legit copy in my possession. Other people I know have the same policy in their possession.

I have a page in it that states the Corporate Policy was adopted on 19 Aug 2003, and an amendment was done per the board minutes 20 May 2015.

Could this have to do w/the recent Conflict of Interest raised w/newly appt'd Craig Crelly? Pls refer to my recent PT post (this page) quoting the Corporate Policy on Conflict of Interest.

The ofc is once again giving out wrong or false info to members. Guess who works in the ofc?

Get your copy of the Corporate Policy. It SHOULD have been posted on the website a long time ago for all members to review. It's been discovered that newby reps haven't been/aren't getting this policy in their rep folders for some reason.

Speaking of the conflict of interest... the IRS is interested in conflicts as well. Form 990 (2017) is required to be filed with the IRS every year for non-profits.

For those that want the truth of whether a Corporate Policy exists or not.... HPP ofc personnel have amnesia or are purposely misleading members who are requesting a copy, and have been told it doesn't exist:

Go to page 3, see Corporate Policy discussion in the board minutes. (Look at the roll of board reps to see who was on the board at the time.) Can't deny they didn't know of it's existence. Larzalere was on the board and had just resigned the previous month. The board obviously had been working on the policy prior to May 2015. There's been some recent discussion over the corporate policy on FB HPP Next Door.

The next general membership meeting should be interesting. If challenged, Crelly could say, "The Board majority can do whatever we like! I'm a director and my wife is an employee, so stuff it!"

With respect, when posting about HPP matters, please stop using acronyms, contractions and assuming the people you mention are known to those that live in HPP. Please do not write your own post in a quote from someone else because no one has any idea who said what. Do not assume everyone has the same intimate knowledge you may have.

Please write your posts assuming the reader does not know the background, so make your point in a way everyone can understand and just doesn't get turned off. Please remember not everyone in Puna lives in HPP and even many of those that do know nothing about the board.

Please leave facebook, twitter and text terms or links out of it. It only takes a few seconds to type the full name of something and makes a big difference to those reading the posts.
