HPP Board 2014
Mahalo Mermaid,
I thought the deliberate disruption put an end to things and that 2 board members had left. Talked to another Board member today and found out that the Board members had gotten up from the table but were still on the premises.
I am pleased to hear that the Board actually did have a chance to conduct a business meeting after all.

I left too early and STILL did not get a chance to see them conduct business. Hopefully next week.
The newly appointed, anointed one has been "viewing" board dysfunction for a long time now.
She's just filling in until the election. Know her well. She has a sincere commitment to follow the bylaws and get some policies passed.

There is a problem with the legitimacy of the October 15th meeting. While there is no specific mention in ARTICLE VIII, Section 9 – Meetings of the Board, about the making of a record of any meeting, the following states that every meeting must be attended by a recording secretary (emphasis added). The meeting in question was without one.

ARTICLE IX – OFFICERS
Section 4. Secretary. The secretary shall
(a) Ensure proper notification and recordkeeping of board and
membership meetings.
3. Ensure minutes of every board and membership meeting are
taken by a recording secretary from an independent
professional secretarial service having no other connection
with the Association.

The use of the word “taken” is specific. It is a physical action performed while a meeting is in session. Nowhere in the Bylaws is there a provision for a later “transcription” from an audio recording.

Therefore, this meeting should never have been called to order. Everything that transpired in the meeting is invalid and must be redone.

In light of the recent resignation of the Secretary, it was incumbent on the President or Vice-president to take the action necessary to ensure that the meeting will would proceed according to the Bylaws' requirements. There should have been a backup recording secretary, since it was known in advance that the HPPOA’s primary would be off island on October 15.

These are Bylaws, not Byguidelines or Bysuggestions. Every Director, on installation, swore an oath (Appendix C) to uphold them.

As an off island owner who attended that disastrous Sept 7 meeting (I was there on vacation), I think the most useful tool to find out what is really going on would be to tape the meetings so I can see for myself how both the board and members conduct themselves.

I agree that "slogging through hours of video" would not be fun so it would be really nice to be able to have some sort of time stamp contained within the written minutes, so that if I'm unclear as to as certain section of the minutes, I could easily go to the video and get a perspective on what happened.

I have been trying to get a sense of what is really happening with the board and the members by reading the postings on Punaweb and the minutes of the meetings and believe me, it's REALLY hard to do that!

There have been prior meetings held without the recording secretary.
The minutes are on the HPPOA website.

As recently as February19, 2014 the Approved Minutes of HPPOA Board of Directors Meeting details a discussion about proceeding with the meeting without a recording secretary. This Feburary meeting proceeded and appointed a new board member as well as approved a paving contract and other purchases.

Precident has been discussed and set.

Is this an assertion that prior bad acts are a justification for current or future ones? I am appalled. Bad acts are bad acts no matter how many times they are committed or by whom, period, the end.

Those past bad acts have been severely criticized, including by members of the current Board. Did not the President, on assumption of office, promise that they would not be repeated?

IF Janet is correct, then this means that everything in the Febbruary 19, 2014 meeting must be redone.
Check out the minutes. A lot was done including paving contracts.
