Chas, thank you for your long distance effort in attempting to understand just what is going on with our Assoc. It's almost impossible to comprehend if you have not been attending Board meetings. I'd like to say it's about sex as that always gets people's attention......or possibly a good fist fight, that also draws a crowd but it is more serious than that.
There's a lot of "soap box shoulds and oughts " pontification being posted here . Posted by some who have not made it their business to attend meetings. Many posts are from members who are frustrated and angry, rightly so. There is blatant "smoke screening" most likely only understood by those of us who really know the heart of the matter.
I am hoping that the new board recognizes their need to follow the by-laws, not only so we as an association can pull ourselves out of this mess but also because.......There is a group of people deliberately attempting to discredit them. Their agenda is more than being "community minded".
Past minutes are posted on our web site....well except for those that got "lost".
As you read these minutes, keep in mind that we are a 5013c Corp. bound by not only our own bylaws but both Fed. and State regulations governing Non-profit corp.s
I draw your attention to Article v Section 14, "Conflict of Interest" and Article Vlll section 11 "Conflict of Interest" of our bylaws.

Hi Reni, a previous board member said, we are classified as 5014c. Morgan should be able to confirm.
Please explain why we're being referred to the Bylaws and conflict of interest.

Clarification on this would be greatly appreciated. (Both are NON PROFIT CORP. For now, let me edit my previous statement to read As you read these minutes, keep in mind that
"we are a (--5013c) NON PROFIT CORP. bound by not only our own bylaws but both Fed. and State regulations governing Non-profit
Corporations. "
In regards to a Conflict of Interest Policy...
What are the Federal requirements?
What are the State requirements?
What do our OWN Bylaws read?
Karma, I am not aware of any Conflict of Interest at this time. Has there been in the past? Well that would depend on who you talk to. According to the 2 Licensed attorneys I consulted with, the answer was "YES". None of you know me and what I hope you do is investigate for yourselves, as our group did, in attempting to RESOLVE an enormous hindrance to the proper management of our association.

I hope not to further confuse this thread, but we are also expected to comply with the rules under the Hawaii Nonprofit Corporation Act, Chapter 414 D, Hawaii Revised Statutes. (if anyone is inclined to do some heavy reading on this rainy day)
On another subject, am I the only one who finds it incredulous that we (the members of HPPOA, like it or not)have to get the information regarding BOD resignations, lawsuits etc. on Punaweb, instead of on HPPOA's website?
I have to wonder what else aren't they telling us. It appears that the powers that be are unable/unwilling to give us accurate, timely information.

re: web site updates...it's my understanding that the updates to hppoa web site are posted by a volunteer on their own time. It's time to pay for this service or make this duty a part of a staffer job description. Very little room for excuses...hppoa pays and the staffer does the update.

Agreed Frank. Since access to timely and complete information is required by both our BiLaws and 414 D, there is NO EXCUSE to leave posting of said information to a "volunteer".

It wasn't a "volunteer" job, Morgan was paid to maintain the website. The new board has taken away this job from Morgan and think they can do a better job with a volunteer.

Yes it is...fyi scott, I ask Morgan no more than 1 mo. ago about postings on the web and she, Morgan, told me , I was in the office, that she did all the postings and that she volunteered her time for this work. I believed her. If she wants to be paid for this work, timely postings on the web for hppoa members, it's certainly an option the BoD can consider.

The last board meeting was deliberately derailed and I could not believe the childish behavior I witnessed.
There was an installation of a new Board member who was and still is willing to accept the role of Secretary. The question of the legitimacy of the last meeting most likely has "stalled" the progress once again. Yes, past Presidents have continued with meetings in the past without a Recording secretary . They were not challenged with this decision .
New day, yep. EVERYTHING this new Board is doing is being scrutinized. Double standards from those that have served in the past? Past employees that post here?
It is a time consuming task to serve on a non profit board. Add to the mix past board members behaving in an adversarial manner instead of functioning in an advisory manner and it's dam tough.
The way out is for them to follow the bylaws like NO OTHER Board we have ever had in the past. The question is do they have enough Moxy to rise above the sabotage to accomplish this goal.
