so, does the benefit package for the GM include legal services being paid for by the members of HPPOA? i don't think so...my thinking is...the GM needs to pay for his OWN legal services. what happens if the BoD take legal action against the GM?...which side does the lawyer represent? gm or bod?
I would assume that HPP is responsible for the GM's legal expenses while he's employed by the Board and acting in good faith on their assn.'s behalf. If the Board found the need to sue the GM, one would assume that the GM would have been fired or quit first, in which case the GM would be responsible for his own legal expenses (although I suppose he could seek to recoup his legal expenses from the Board if the courts rued in his favor).
Note that I am not a lawyer, but I play one on PC.
