While I agree that the hiring of the Vice-President's niece to work on the HPPOA website falls within the Bylaws definition of conflict of interest (Article V, Section 14), the only action that the Bylaws specify is that a Director cannot vote at any board meeting on any issue in which such member has a conflict of interest (Article VIII, Section 11 (a)).
However, since I have been unable to find a motion at any of this Board's meetings that authorized this action (please point to one if I am wrong), the actual contravention was of "Article VIII, Section 12. Acts of the Board... Any action taken by any board member(s) purporting to act on behalf of the board independently without the prior consent of the board shall not be considered an act of the board, and shall be strictly prohibited in accordance with HRS chapter 414D."
The same applies to the other actions taken by any Director in relation to the activities of the HPPOA office without prior consent of the Board.
