Nope not getting resolved on punatalk that’s pretty obvious isn’t it ..The court will resolve it and then the factual information will be public.
It’s a road maintenance business.. legitimate business is road maintenance obviously mermaid agrees the website is legitimate and has the fact check information!

I get that. What I am referring to is all the accusations of who is who in this thread. It's like accidentally walking into a party of paranoid people you weren't invited to attend yet it's open to the public.

Funny y’all wont take your own advice. Nothing will get done in puns web. But y’all just get offended when you get called out on your false statements. Can’t pick and choose what you feel like pulling out of the by laws. To whoever said the roads are looking better. Make sure to give that praise to where it belongs. The gm and the maintenance department. Mermaid as a board member you would think you would put yourself in a higher standard then nick picking everything on here. You don’t see other current board members belittling you in such matters. -from home owners who are fed up with your nonsense

IMO, Stillwater and Obie wouldn't personally slander and defame the directors in this case the defendants in the lawsuit unless they have a dog in the fight. Obie keeps close tabs on the lawsuit who does that unless they have a dog in the fight? It's obvious and Stillwater talks out both sides of her mouth repeatedly saying the court will decide the outcome but keeps going on social media slandering and defaming the defendants. IMO, they want us to forget HPPOA is being sued by Kawauuhua and is supported by the general manager and Creeley. We are paying the general manager's salary. Mermaid, can't you file charges for defamation and slander? I heard the general manager is suing a director for defamation and slander. You should look into it, JMO. At very least save all their posts and take to your attorney.
Thanks Mermaid for posting those bylaws and it's all right there crystal clear the board controls HPPOA business and the website. It's worth posting again. The 3 amigos controlling all of HPPOA's business affairs are obviously in legal jeopardy. No wonder Obie and Stillwater are scared.

ARTICLE VIII – BOARD OF DIRECTORS

Section 8. Powers and Authority. Except for the limitations set by the Articles of Incorporation and by these bylaws as to actions to be authorized or approved by the membership and subject to the duties of the directors as prescribed by the bylaws, all corporate powers and affairs of the Association shall be exercised or controlled by or with authority of the board. The directors shall have such power and duties as may be necessary or proper including, but not limited to the following

(f) Employ, supervise, and dismiss such personnel or independent contractors as may be necessary for the maintenance and operation of the Association and its committees, and prescribe such duties for them as are consistent with law, the Articles of Incorporation, and these bylaws.

® Approve standards and policies and procedures for member communication platforms to include: 1. Website design, content, and links 2. Mass mailings, electronic and printed 3. Newsletter 4. Official notices 5. Media releases 6. Signage

(t) The board shall further have additional powers as necessary for the administration of the affairs of the Association and may act accordingly as not prohibited by law, the Articles of Incorporation, or these bylaws

ARTICLE XII –ADMINISTRATION

Section 2. Administrative Authority. Administrative authority shall reside with the board or an agent or employee of the board specifically authorized by a majority vote of the board in a regular or special meeting of the board and duly recorded in the minutes of that meeting.

6. Website. The Association shall maintain a website,which content shall be subject to board review and approval. The purpose of the website is to make available as much information relevant to HPPOA members as possible. The contents shall include, but are not limited to: HPPOA bylaws; fiscal schedule; minutes of board and membership meetings; motions and resolutions passed by the board and at membership meetings; motions tracking log; legal actions, reports and files; Association policies; current directors list; current committee list, notifications and agendas for upcoming board and membership meetings; fiscal year-end financial statement; three-year capital improvement plan; the most current approved road and non-roads budgets; an annual state of the roads report; calendar of events; the Fiscal Statement; Annual Update; and the newsletter.

Since my post has nothing to do with road fees, I brought my post here.

Anyone can post erroneous information about our bylaws so please fact check. You are welcome to fact check for yourself in the link below which will take you to our bylaws.

Stillwater posted the following on HPP road fees thread 2 Apr 2020:

"The President, and Mr Creeley were legally elected by the property owners in their districts and were legally sworn in by HPP’s official recording secretary .....here is some food for thought- was mermaid and the other ? They held an illegal meeting and appointed their hand picked directors ( stacking of the board) and swore them in with a recording secretary that was not employed or affiliated with HPPOA ever before!

Stillwater's information is FALSE. Below is the correct information.

"APPENDIX C
Oath of Office Article VIII, Board of Directors Section 2. Terms, (e) Oath of Office. The following oath shall be given and signed by all incoming elected or appointed directors and witnessed by the secretary or recording secretary, immediately before he or she assumes the position of HPPOA director"


Only the board swears in new directors as has been done for decades at board meetings. The plaintiff and Crelly having been on the board for a few years has participated and witnessed the swearing in process MANY MANY times AT MEETINGS, transparently with other directors present. The plaintiff and Crelly knows this process very well. Stillwater resigned less than 12 months into her new term, but she also has witnessed the swearing in process has been done at meetings transparently in front of and by the board. Evidence is in past board meeting minutes.

The new board was sworn in properly following the guidelines of the bylaws by the two legitimate board directors transparently at a called meeting. There are meeting minutes. Of course you're going to hear otherwise from the opposition because this is being disputed in the lawsuit. It will be up to the court to decide.

We can hire another recording secretary if the other one is unavailable even though she was given more than 7 days notice. Board business can proceed if another professional recording secretary is available. This will also be challenged by the opposition and this will also be up to the court to decide.


What is mermaid’s profession and experience she brings to the board of directors table??
