Payments, road requests and other business operations may be done via phone

Monday thru Friday 730am-430pm

By calling 808 966 4500 or emailing info@hppoa.net

Currency and check payments can still be dropped at the night drop by the front door

That's inaccurate. The BOD oversees the GM. Overseeing the GM is NOT micromanaging. It's the board's fiduciary duty to oversee the GM. The GM has no authority to represent HPPOA or post anything without going through the board. The directors decide what information is posted beyond day to day business.

P. S. It's also the board's decision whether the office is to close or not, not the GM's. So this is a real stunner that this has happened without the board's knowledge.

Mermaid a Board oversees the operations of a business there is a chain of command in the bylaws regarding the GM. The boards fiduciary duty does not involve micro management!

Read the bylaws. The board oversees the GM = fiduciary duty. And you were already on the board as the District 4 rep and resigned en masse and solidarity with your group.

ARTICLE VIII – BOARD OF DIRECTORS

Section 8. Powers and Authority. Except for the limitations set by the Articles of Incorporation and by these bylaws as to actions to be authorized or approved by the membership and subject to the duties of the directors as prescribed by the bylaws, all corporate powers and affairs of the Association shall be exercised or controlled by or with authority of the board. The directors shall have such power and duties as may be necessary or proper including, but not limited to the following

(f) Employ, supervise, and dismiss such personnel or independent contractors as may be necessary for the maintenance and operation of the Association and its committees, and prescribe such duties for them as are consistent with law, the Articles of Incorporation, and these bylaws.

® Approve standards and policies and procedures for member communication platforms to include: 1. Website design, content, and links 2. Mass mailings, electronic and printed 3. Newsletter 4. Official notices 5. Media releases 6. Signage

(t) The board shall further have additional powers as necessary for the administration of the affairs of the Association and may act accordingly as not prohibited by law, the Articles of Incorporation, or these bylaws

ARTICLE XII –ADMINISTRATION

Section 2. Administrative Authority. Administrative authority shall reside with the board or an agent or employee of the board specifically authorized by a majority vote of the board in a regular or special meeting of the board and duly recorded in the minutes of that meeting.

6. Website. The Association shall maintain a website, which content shall be subject to board review and approval. The purpose of the website is to make available as much information relevant to HPPOA members as possible. The contents shall include, but are not limited to: HPPOA bylaws; fiscal schedule; minutes of board and membership meetings; motions and resolutions passed by the board and at membership meetings; motions tracking log; legal actions, reports and files; Association policies; current directors list; current committee list, notifications and agendas for upcoming board and membership meetings; fiscal year-end financial statement; three-year capital improvement plan; the most current approved road and non-roads budgets; an annual state of the roads report; calendar of events; the Fiscal Statement; Annual Update; and the newsletter.

My apologies KP but I’m out for now I find at this point in time none of this even matters for a whole dollar a day in dues. Mermaids and company’s constant hatred disrespect distrust of the association, the employees, the manager, anyone that doesn’t agree with their point of view,
and every and all decisions/ motions that any BOD has made or will make that they don’t like or want
It’s completely disgusting irresponsible unworthy behavior of any Director . I hope one day you really do get all the information to make a fair assessment it’s obvious you don’t have it all.

I’ll respond to the things Stillwater has said but I don’t expect a response from her because she’s in a self-imposed time-out!

Since she knows nothing about me, she doesn’t know that I have served on many functioning boards and have managed entire staffs of over 100 people. I believe in total autonomy and think that the GM should be allowed to do his/her job without being micro managed. However, if not doing the job, then he/she should be managed, although this isn’t what my post was about. I went to the website to see if there was going to be a BOD meeting tonight and didn’t see anything posted. That got me looking deeper into the sad website and found numerous things wrong with it. I only listed a few.

My saying the BOD should be able to edit the website was not meant to say the BOD would physically do the work, but to let the GM, since now I know it’s his responsibility to keep it up to date with current, relevant, accurate information. He just needs some guidance to get things right and to post everything he should, not just what he picks and chooses.

I personally have no hatred, disrespect, or distrust of the association, employees or the manager, but if Stillwater has anything to do with any of those, I might be swayed. She would be the cause of my feelings. I can still be fair but it’s getting harder and harder to hold my tongue with her comments, accusing me of things she knows nothing about.

I won’t even respond to the rant that followed because it has nothing to do with the subject at hand.

Holy crap. Mermaid you are off your rockers and anyone who spends this much time up the Hppoa behind should of read the minutes and would agree. Mermaid isn’t your time almost up? You alone have caused The association thousands in legal fees and encouraged owners to stop paying putting the associate down the hole. Your whole time on the board there is not a single good thing or productive that has come out of you. The whole point of Hppoa is for roads only!!! Not personal attacks to the gm or staff. The financial are given to the board every month and audits have been done with no red flags. So why don’t you put your dedication to what you originally were voted in for . To get the roads done. The contract was agreed when the board was running and was never signed by the gm. If the road wouldn’t of been paved then you would of room to talk. It’s simple things you make mountain out of mole holes. For example the office doors being closed. Clearly the website states the door is closed but office is still running but instead of looking for the best interest of the community and staff. You find a way to stir things up. With all respect for the locals that live in hpp we can’t wait till you are off the board and stop costing us money. Let a functional board do what they are voted in for and that’s for the roads. Let’s the staff do what they have to do and work on the roads. Do us favor and stop drowning our money down with your mermaid ways.
