invoice of $3000 chgd 7 Nov 2014 for "creation of new design and change of servers for HPPOA website". Then other charges followed which amounted to another $955.

This issue is non-HPP specific and probably deserves its own thread ... that said:

Not the first time I've heard about someone paying ridiculous fees for website creation and hosting -- sometimes nepotism is involved, sometimes not. People around here seem to believe that websites are magic, and they're happy to pay $500/page for something that GoDaddy or WIX or Wordpress will host for $20/month.

Put another way: if someone volunteered a little technical assistance, $4000 would buy a server and pay for 2 years' DSL+power to run a website with it.

Nepotism is only part of the problem.

Speaking of "You're Fired", I see that ponohpp.com has picked up from the Court and posted the illegally TE's Pretrail Statement which includes the complaints and a list of witnesses. Some people may be shocked to see their name.
At least some one is trying to give us some information about the lawsuit we were stupidly involved in by a small group of people who are so arrogant they are beyond adequate English words to describe them.

While I agree that the hiring of the Vice-President's niece to work on the HPPOA website falls within the Bylaws definition of conflict of interest (Article V, Section 14), the only action that the Bylaws specify is that a Director cannot vote at any board meeting on any issue in which such member has a conflict of interest (Article VIII, Section 11 (a)).

However, since I have been unable to find a motion at any of this Board's meetings that authorized this action (please point to one if I am wrong), the actual contravention was of "Article VIII, Section 12. Acts of the Board... Any action taken by any board member(s) purporting to act on behalf of the board independently without the prior consent of the board shall not be considered an act of the board, and shall be strictly prohibited in accordance with HRS chapter 414D."

The same applies to the other actions taken by any Director in relation to the activities of the HPPOA office without prior consent of the Board.

Boy I wouldn't want to be on witness list. Can't wait till they are deposed under oath and one doesn't know what the other one is testifying too. Possibly more defamation and maybe some new John or Jane Doe's added to the law suit.

From the evidence packets provided by the VP at the last Board meeting:
Emails indicate that the website was contracted and negotiated by BJ Mulinex alone. The VP was not involved. BJ did the hiring without board approval.

What's wrong with this picture?

The GM's office is out in the maintenance building with no phone.

Ruth has taken over the old GM's office in the file room.

What business does a director have in the office?

Moreover, how can the GM keep a pulse on the office while his office is in the garage?

I will not confirm or deny who I am. But all I said was, "Boy I wouldn't want to be on this witness list".

If there was a vote and the V.P. did not disclose than I believe,
Section 11 (Conflict of Interest (B) would apply... "Any after the fact disclosure of a conflict of interest on the part of any Director shall result in the nullification of any relevant vote of the director and SHALL be grounds for dismissal from the Board."

Our bylaws state that the Board SHALL annually adopt a Conflict of Interest POLICY.
Most COI policies have 7 basic sections , including process and procedure.
"Disclosure" is an important part of the process.

Was this procurement done without a Board vote?
Was the V.P. acting in her capacity as GM ? (still conflict of interest)
Does the GM have Board authorization to purchase up to a specific dollar amount without the board's approval?
