I don't know .....This is MY understanding
we are now down to 3 board members...with 1 possibly MIA .
( 5 resignations in writing, 1 verbal and possibly by now this one in writing as well...website shows 6 vacancies).
Remaining board members could fill part or all vacancies ...IF they meet to do so......not sure if a board meeting is being considered or not.

966-4500, the office.......things appear to be mercurial right now, but possibly something official can be conveyed by the staff.

There will be a General Membership meeting on 30 June 2019 at 3 PM. We have no board secretary at the moment so the remaining 3 board directors will have to work together on the agenda and get it posted ASAP.

Thanks, Mermaid. Perhaps the newly elected board members will be more sensible than the ones who walked away. I know people have their reasons for quitting, and sometimes they are honorable, but I have to wonder about what some of these characters are running from. Professional outside management and/or receivership seem the best course, imho.

Election results announced at the last board mtg:

Larry Kawaauhau was unopposed in Dist 1 so has been elected to a 3 yr seat.

Craig Crelly prevailed in Dist 6 but he put in his resignation on 19 Jun 2019 and the HPP website has posted D6 seat as vacant.

There was a None of the Above box on the ballots that wasn't tallied in the election results.

I believe in transparency so I will tell you that the election ballots for two districts (1 and 6) were generated by a director, the GM and employees working together in the office. The Nominating Committee was not involved in any of that process whatsoever.

Nanawale came to HPP and counted the ballots in the office. Someone from Nanawale came to the 19 Jun 2019 board mtg to deliver the election results as was agreed upon. She was upset that only 1 observer was there when the agreement was to have 3. They were also upset that the counters were disturbed during the counting process when they specifically said in their agreement w/HPP, that no one was to disturb them during that process. It turned out it was an ofc employee.

The counting process wasn't conducted in the library where there was more room because apparently the cross reference list w/lot owner names and addresses can't leave the office per the GM. The purpose of the cross reference list w/lot owner names and addresses, was to compare what ballots were sent out vs what was received. A lot owner brought forward after the majority board voted to do the count in the HPP ofc and not the library, that this sort of list is used at the Activity center before membership mtgs to cross reference who is current w/their road fees before getting a voting paddle asking what's the difference? [?]

Aloha, I submitted the following to the office mid afternoon yesterday and kindly requested it be posted on the website. 2/3 of the board approved it. It wasn't posted, therefore I'm posting it here. Please be patient, a reminder that D7 and I are trying to keep normal business going but have no cooperation at this point in time. One board member D1 of the total of 3 remaining reps has not had any contact w/D5 and D7 reps since the resignations 10 days ago.

The Spectrum item has not been confirmed yet. Spectrum was supposed to speak at the Feb membership mtg which was cancelled by the majority board. At the June board mtg, we had a consensus that we should make sure they're on the agenda this time. I called them as a follow up to see if anyone had contacted them. Still waiting to hear back...

Regarding the misinformation out in the community as to whether 3 directors can carry on board business and fill board vacancies....

Per Hawaii Revised Statutes 414D-147 Quorum and Voting (a) "Except as otherwise provided in this chapter, the articles, or the bylaws, a quorum of a board of directors consists of a majority of the directors in office immediately before a meeting begins. [b] In no event may the articles or bylaws authorize a quorum of fewer than the greater of one-third of the number of directors in office or two directors."

Key: "in office"....
