HPP BIZ: Part the second


The next scheduled Board of Director's meeting is tomorrow.
Maybe we, the owners, will finally know who are board members are.

There is at least 1 item posted on our website which is patently false. It shows Craig C. as our
" Secretary". No, he is not. He resigned from the Board during his last term, thus ending his position as our "Secretary". I am not sure who authorized the posting of this falsehood.

pasted below from our web site is the agenda of the Board of Director's meeting of June 19 . There was quite a large amount of business on this agenda.

How much of this agenda was accomplished before the mass resignations ? Anything? Are these issues left hanging? Have they been attended to by Larry (Past. Pres.) acting on his own?

As you can see for yourselves, this is a Corp. in serious need of Professionalism.

reni, fortunately the board completed all business. Craig Crelly resigned right after his spouse spoke during owner input and Kathleen Shaw followed within a minute or two after Crelly. Both tossed their handwritten resignations on the table near the remaining directors. Crelly tossed his board secretary flash drive towards D7.

One director gave a formal resignation via email before the meeting and another gave her formal resignation during her treasurer's report. D8 turned in his resignation to the office 20 July which the GM confirmed on 6/21 via phonecon w/D5 = 5 resignations.

The 6th resignation was by D9 in Feb/Mar 2019. D9 seat filled for approx 2 wks before that director resigned in May 2019.

P. S. We did not go into exec session. There were only 2 directors present after the resignations. Larry Kawaauhau was absent.

What is the difficulty in understanding something so simple or is it that some chose not to. When a persons term is over, it is over. The position they held as officer does not carry over. It is over and the position needs to be reappointed. If not then there would never be a chance for anyone else to hold that position. Which seems to be exactly what the GM, Larry and Crelly want. Control. They have done this many times. Just shut the rest out. We are on a hamster wheel until there is a major shake up and that will take guts.

Exactly what is the difficulty in understanding something so simple. The bylaws state officers serve until their successors are installed and after signing a statement of office. Therefore yes it does carry over if you are to follow the bylaws. In order to reappoint officers there would have to be a legal meeting with quorum to abide by the bylaws and state law if not it leaves room for manipulation of the board directors and officers this is what transpired when the 2 of 4 directors called a meeting, never met quorum, and proceeded to conduct business .The bylaws also have a set time limit for being seated as an officer “ no officer shall be elected to the same office for more than three consecutive one year terms. Partial terms and non consecutive terms shall not apply toward this limitation. What is the difficulty in understanding and abiding by the bylaws?

Why don't you go to the board meeting and find out? Or check the website. Or will the General Manager decide he won't post that either? Is it just me who wonders why HPP is held hostage to a General Manager who picks and chooses what information we get to see?

I apologize but you're just not making any sense to me. There seems to be some details missing here. So I'm not convinced that your information is correct.
